  • You own your content and data. We process it only to provide the services.
  • You pay for the resources you use, billed to your organization.
  • You agree to follow the Acceptable Use Policy.

1.Acceptance of these terms

These Terms of Service (“Terms”) form an agreement between [Legal name] (“Stack53”, “we”, “us”) and the organization or individual that creates an account or uses the services (“Customer”, “you”). By creating an account, accessing app.stack53.com or using any Stack53 service, you agree to these Terms.

If you accept these Terms on behalf of an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the services.

2.Your account and organization

Access to Stack53 is organized as Organizations, Workspaces, Projects and Environments. The Organization is the contracting and billing entity.

  1. 2.1You must provide accurate account information and keep it up to date.
  2. 2.2You are responsible for the members you invite, the roles you assign to them and all activity under your Organization.
  3. 2.3You must keep credentials, API tokens and access keys confidential and notify us promptly of any unauthorized use.

3.Using the services

Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the services during your subscription. The services include the developer platform, cloud infrastructure products, the API, SDKs and CLI, and related documentation.

  1. 3.1You must comply with the Acceptable Use Policy and all applicable laws.
  2. 3.2You may not resell, sublicense or provide the services to third parties except as part of your own application.
  3. 3.3Features labelled beta, preview or planned are provided as-is and may change or be discontinued.

4.Customer content and data

“Customer Content” means code, data, files and other material you deploy, store or process using the services. As between you and Stack53, you retain all rights to your Customer Content.

You grant us a limited right to host, copy, transmit and process Customer Content only as needed to provide, secure and support the services. Our handling of personal information is described in the Privacy Policy and, where applicable, the Data Processing Addendum.

You choose the region where resources are created. We will not move Customer Content out of the region you select except as described in the Data Processing Addendum or as required by law.

5.Fees, billing and taxes

Fees are based on the resources and plans your Organization uses, at the rates shown on the pricing page or in an order form. Usage-based charges are calculated from metered usage recorded in the app.

  1. 5.1Invoices are issued to the Organization on a [billing cycle] basis and are due within [payment terms].
  2. 5.2Fees exclude taxes. You are responsible for applicable taxes other than those based on our income.
  3. 5.3We may change prices with at least [notice period] notice. Changes do not apply retroactively.

6.Service levels and support

Service availability commitments, where offered, are described in the Service Level Agreement, including how availability is measured and any service credits. The SLA applies only to the products and plans it lists.

  1. 6.1Support is available through the Support area of the app and the channels listed on the Support page.
  2. 6.2Planned maintenance is announced in advance on the system status page where practical.
  3. 6.3Response targets depend on your plan and are described in your order form or support policy.

7.Suspension and termination

You may stop using the services and close your Organization at any time from the app. Fees for usage up to the date of closure remain payable.

We may suspend access to affected resources if we reasonably believe your use breaches the Acceptable Use Policy, creates a security risk, or if undisputed fees remain unpaid after notice. Where possible we will notify you first and restore access once the issue is resolved.

After termination, we will make Customer Content available for export for [retention period], after which it is deleted in accordance with our data retention practices.

8.Warranties and disclaimers

We will provide the services with reasonable skill and care and in line with the documentation. Except as expressly stated in these Terms, the services are provided “as is” and “as available”.

To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Beta and preview features carry no warranty.

9.Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, arising out of these Terms.

  1. 9.1Each party’s total liability is limited to the fees paid or payable by you in the [period] before the event giving rise to the claim.
  2. 9.2These limits do not apply to your payment obligations, a breach of the Acceptable Use Policy, or liability that cannot be limited by law.

10.Governing law and changes to these terms

These Terms are governed by the laws of [Province] and the federal laws of Canada applicable there. The courts of [City, Province] have exclusive jurisdiction, unless otherwise agreed in an order form.

We may update these Terms from time to time. We will post the updated version on this page, change the “Last updated” date and, for material changes, notify account owners at least [notice period] in advance. Continued use after the effective date means you accept the updated Terms.
